1. Introduction

This Tutor Service Agreement ("Agreement") is entered into between ROFL Technologies Private Limited, a company incorporated under the laws of India ("Company," "Tutcart," "we," "us") and you ("Tutor," "you," "your") as an independent contractor providing tutoring services through the Tutcart platform.

Important Notice

By registering as a tutor on Tutcart, you acknowledge that you have read, understood, and agree to be bound by this Agreement, our Terms of Service, Privacy Policy, and Acceptable Use Policy. This Agreement is governed by Indian law.

2. Definitions

  • "Platform" means the Tutcart website, mobile applications, and related services.
  • "Services" means tutoring, teaching, mentoring, or educational services provided through the Platform.
  • "Student" means any user who engages your Services through the Platform.
  • "Session" means a scheduled tutoring interaction between you and a Student.
  • "TutPay" means Tutcart's payment processing system.
  • "TutVerify" means Tutcart's tutor verification process.
  • "Platform Fee" means the commission charged by Tutcart for facilitating Services.

3. Independent Contractor Relationship

You are an INDEPENDENT CONTRACTOR, not an employee of ROFL Technologies Private Limited. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship.

As an Independent Contractor, you:

  • Are NOT entitled to employee benefits (PF, gratuity, insurance, leave, etc.)
  • Are solely responsible for your own taxes, GST, and statutory compliance
  • Control your own schedule, rates, and teaching methods
  • May work with other platforms or clients simultaneously
  • Provide your own equipment and workspace
  • Bear all risks associated with your business

Tutcart's Role

Tutcart is a technology platform that connects tutors with students. We do not control the manner or means by which you perform your Services. We provide the platform, payment processing, and support services.

4. Eligibility & Verification

Eligibility Requirements

  • Be at least 18 years of age
  • Have legal right to work in your jurisdiction
  • Possess genuine qualifications for subjects you teach
  • Have no criminal convictions related to children, fraud, or violence
  • Have access to reliable internet and necessary equipment

TutVerify Process

You agree to complete our verification process, which may include:

  • Identity verification (Aadhaar, PAN, Passport)
  • Educational qualification verification
  • Background checks where legally permitted
  • Video interview or skill assessment
  • Reference checks

⚠️ Platform Discretion

Tutcart reserves absolute discretion to approve, reject, or revoke tutor status at any time without providing reasons. Registration does not guarantee acceptance. Our internal criteria are proprietary and confidential.

5. Services & Obligations

Your Obligations

  • Provide high-quality, professional tutoring services
  • Maintain accurate and truthful profile information
  • Only claim qualifications you genuinely possess
  • Respond to student inquiries within 24 hours
  • Honor all scheduled sessions or provide adequate notice
  • Maintain a professional teaching environment
  • Keep session content appropriate and educational
  • Comply with all applicable laws and regulations

Session Standards

  • Start sessions on time
  • Come prepared with relevant materials
  • Dress professionally for video sessions
  • Ensure stable internet connection
  • Provide constructive feedback to students
  • Document session outcomes as required

6. Professional Conduct

Required Conduct

  • Treat all students with respect and dignity
  • Maintain appropriate professional boundaries
  • Communicate professionally at all times
  • Protect student privacy and confidentiality
  • Report any safety concerns immediately

Prohibited Conduct

  • Harassment, discrimination, or inappropriate behavior
  • Romantic or sexual advances toward students
  • Sharing personal contact information to bypass platform
  • Completing assignments or exams on behalf of students
  • Making false claims about qualifications or outcomes
  • Disparaging Tutcart or other tutors publicly

7. Child Safety & POCSO Compliance

🛡️ ZERO TOLERANCE POLICY

Tutcart has ZERO TOLERANCE for any form of child abuse, exploitation, or inappropriate behavior. We comply fully with the Protection of Children from Sexual Offences (POCSO) Act, 2012.

Mandatory Requirements for Minor Students

  • NEVER request personal contact information from minors
  • NEVER arrange meetings outside the platform
  • NEVER engage in personal conversations unrelated to education
  • NEVER share personal social media with minor students
  • ALWAYS maintain visible, professional conduct
  • IMMEDIATELY report any concerning disclosures to [email protected]

Mandatory Reporting

As per POCSO Act, you are legally obligated to report any suspected child abuse. Failure to report is a criminal offense. Report to local police (100), Childline (1098), and [email protected] immediately.

Consequences of Violation

Any violation of child safety policies will result in: immediate account termination, forfeiture of all pending payments, reporting to law enforcement, and potential criminal prosecution under POCSO Act (minimum 3 years imprisonment).

8. Compensation & Payments

Payment Terms

  • You set your own hourly/session rates within platform guidelines
  • All payments are processed through TutPay
  • Tutcart deducts a Platform Fee (percentage disclosed at registration)
  • Payments are released after session completion and student confirmation
  • Payout frequency: Weekly/Bi-weekly (as per your preference)
  • Minimum payout threshold may apply

Payment Withholding

Tutcart may withhold payments in cases of: suspected fraud, policy violations, pending disputes, incomplete verification, or legal requirements. Withheld payments may be forfeited if violations are confirmed.

⚠️ No Income Guarantees

Tutcart does NOT guarantee any minimum number of students, sessions, or earnings. Your income depends entirely on your performance, availability, market demand, and student preferences.

9. Tax Obligations

⚠️ Your Tax Responsibilities

As an independent contractor, you are solely responsible for:

  • Registering for GST if your turnover exceeds applicable thresholds
  • Filing GST returns and paying applicable taxes
  • Paying income tax on your earnings
  • Maintaining proper books of accounts
  • Issuing invoices to students where required
  • Complying with TDS provisions

Tutcart may deduct TDS as required under Income Tax Act, 1961. We will provide Form 16A for deductions made. Consult a tax professional for your specific situation.

10. Intellectual Property

Your Content

You retain ownership of original educational content you create. However, by uploading content to Tutcart, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute such content for platform operations and marketing.

Tutcart's IP

Tutcart®, TutPay, TutVerify, and all platform features are proprietary to ROFL Technologies Private Limited. You may not copy, modify, or create derivative works from our platform or branding.

11. Confidentiality

Confidentiality Obligations

You agree to keep confidential:

  • Student personal information and session content
  • Tutcart's proprietary algorithms and business processes
  • Platform fee structures and internal policies
  • Other tutors' information obtained through the platform
  • Any information marked as confidential

This obligation survives termination of this Agreement indefinitely.

12. Non-Circumvention

🚫 STRICTLY PROHIBITED

  • Off-Platform Transactions: Conducting sessions or payments outside Tutcart
  • Contact Information Sharing: Sharing personal phone, email, or social media to bypass platform
  • Fee Evasion: Any scheme to avoid platform fees
  • Student Solicitation: Encouraging students to leave the platform

Penalty: Violation entitles Tutcart to recover damages equal to 12 months of estimated platform fees, plus immediate account termination and forfeiture of pending payments.

13. Termination

Termination by You

You may terminate this Agreement at any time by deactivating your tutor account. You must complete all scheduled sessions or provide adequate notice to students.

Termination by Tutcart

Tutcart may terminate this Agreement immediately for any reason, including but not limited to: policy violations, poor performance, student complaints, verification failures, or at our sole discretion without cause.

Effect of Termination

  • Access to platform will be revoked
  • Pending payments will be released (unless withheld for cause)
  • Confidentiality and non-circumvention obligations survive
  • You must cease using Tutcart branding

14. Indemnification

You agree to indemnify, defend, and hold harmless ROFL Technologies Private Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your Services, (b) your violation of this Agreement, (c) your violation of any law, (d) your infringement of third-party rights, or (e) any dispute between you and a Student.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TUTCART'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT OF PLATFORM FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. TUTCART SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

16. Dispute Resolution

Arbitration

Any dispute arising from this Agreement shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be New Delhi, India. The arbitration shall be conducted in English by a sole arbitrator mutually appointed by the parties.

17. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, Information Technology Act, 2000, and Consumer Protection Act, 2019. The courts of New Delhi, India shall have exclusive jurisdiction over any disputes.

18. Miscellaneous

  • Entire Agreement: This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Tutcart.
  • Amendments: We may modify this Agreement at any time. Continued use after changes constitutes acceptance.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • No Waiver: Our failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign this Agreement. We may assign to any affiliate or successor.

19. Acceptance

By registering as a tutor on Tutcart, you acknowledge that:

  • You have read and understood this entire Agreement
  • You agree to be bound by all terms and conditions
  • You are entering into this Agreement voluntarily
  • You have the legal capacity to enter into binding contracts
  • All information you provide is accurate and truthful
  • Your electronic acceptance constitutes a valid signature under Indian law
